Welcome to Serina Systems. These Terms and Conditions govern your use of our newsletter subscription service and outline the rights and responsibilities of both parties. By subscribing to our newsletter, you confirm that you have read, understood, and agree to be bound by these terms in their entirety. If you do not agree with any part of these terms, please do not subscribe.

1 Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

• "Serina Systems," "we," "us," or "our" refers to Serina Systems, a digital transformation company registered and operating in Kenya, with offices along the Nyahururu–Nakuru Road, Nakuru.
• "Newsletter" refers to our periodic email publication containing insights, tutorials, product updates, industry news, and promotional content delivered to subscribers.
• "Subscriber," "you," or "your" refers to any individual who has opted in to receive our newsletter by providing their email address through our subscription form.
• "Personal Data" means any information that identifies or can reasonably identify you as an individual, including but not limited to your email address and name.
• "Content" means all articles, text, graphics, images, code samples, videos, and other materials published in the newsletter or on our website.
• "Services" refers to our newsletter subscription service and associated features, including the Serina Systems Blog at serina-blog.html.

2 Newsletter Subscription

By completing and submitting our newsletter subscription form, you are entering into a voluntary agreement with Serina Systems to receive periodic email communications from us. The following conditions apply:

• Eligibility: You must be at least 18 years of age, or have the consent of a parent or legal guardian, to subscribe to our newsletter.
• Accuracy of information: You agree to provide a valid, active email address that you own or are authorised to use. You must not subscribe using a fraudulent or someone else's email address without their explicit consent.
• Subscription confirmation: Your subscription may be subject to a double opt-in process, where we will send a confirmation email to the address you have provided. Your subscription is only fully active once you confirm it.
• Frequency: We aim to send our newsletter on a weekly basis. The actual frequency may vary depending on the volume of content we produce and operational considerations.
• No charge: Subscribing to our newsletter is entirely free of charge. We will not bill or charge you for newsletter emails.
• Multiple subscriptions: Please do not subscribe the same email address multiple times. Duplicate subscriptions will be identified and consolidated.

3 Collection and Use of Personal Data

We take your privacy seriously. The following sets out how we collect and use your personal data in connection with the newsletter:

• Data collected: When you subscribe, we collect your email address. If you provide your name, we collect that too. We may also collect metadata such as the date and time of subscription.
• Purpose of processing: Your data is used solely to deliver our newsletter to you, to manage our subscriber list, to analyse open rates and engagement (in aggregate, not individually), and to comply with our legal obligations.
• Legal basis: We process your personal data on the basis of your explicit consent, given at the time of subscription.
• Data retention: We will retain your data for as long as you remain a subscriber. Upon unsubscription, your personal data will be removed from our active mailing list within 30 days. We may retain a record of your email address on a suppression list to ensure we do not inadvertently re-subscribe you.
• Data sharing: We do not sell, trade, or rent your personal data to third parties. We may share your email address with our email delivery service provider (such as Web3Forms or similar) solely for the purpose of delivering the newsletter to you. These providers are bound by their own privacy policies and data protection obligations.
• Security: We implement appropriate technical and organisational measures to protect your personal data against unauthorised access, alteration, disclosure, or destruction.

4 Email Communications

Our newsletter communications are governed by the following terms:

• Content of emails: Our newsletter may contain editorial articles, tutorials, company news, product announcements, event invitations, partner promotions, and advertisements. We will always clearly distinguish between editorial content and paid promotions.
• Sender identification: All emails will be sent from an official Serina Systems email address. We will never ask you for passwords, financial information, or sensitive personal data via email.
• Transactional emails: In addition to newsletter content, we may send you transactional emails such as subscription confirmation emails. These are not subject to unsubscription as they relate directly to the service you have requested.
• Spam prevention: We are committed to sending you only content you have requested. We comply with the CAN-SPAM Act principles and equivalent Kenyan communications regulations. Every marketing email we send will include a clear and functional unsubscribe link.
• Delivery: While we take all reasonable measures to ensure deliverability, we cannot guarantee that our emails will not be caught by your spam filter or blocked by your email provider. You are responsible for ensuring that emails from Serina Systems are marked as safe in your email client.

5 Intellectual Property

All content distributed through our newsletter and published on our blog is the exclusive intellectual property of Serina Systems, unless otherwise attributed:

• Copyright: All articles, graphics, code snippets, and other materials are protected under copyright law. You may not reproduce, distribute, or republish any portion of our newsletter content without our prior written consent.
• Personal use: You are permitted to read and share links to our published articles for personal, non-commercial purposes. Forwarding our newsletter to friends or colleagues for informational purposes is also permitted.

6 Acceptable Use

By subscribing to our newsletter, you agree that you will not:

• Subscribe on behalf of another person without their knowledge or consent.
• Use automated tools or scripts to create multiple subscriptions or manipulate our subscriber data.
• Attempt to reverse-engineer, scrape, or extract data from our email communications in bulk.

Any breach of this acceptable use policy may result in the immediate termination of your subscription and, where appropriate, legal action.

• Content in our newsletter is for informational purposes only and does not constitute professional advice of any kind — including legal, financial, medical, or technical advice. Always seek qualified professional guidance before acting on information you receive from us.
• We do not guarantee uninterrupted delivery of our newsletter. Temporary suspensions may occur due to technical issues, maintenance, or circumstances beyond our control.

9 Limitation of Liability

To the maximum extent permitted by law, Serina Systems, its directors, employees, and agents shall not be liable for:

• Any direct, indirect, incidental, consequential, or punitive damages arising from your use of or reliance on our newsletter content.
• Loss of data, revenue, business opportunity, or goodwill arising from any interruption, error, or omission in our newsletter service.
• Any harm arising from unauthorised access to our email distribution system or subscriber list by third parties.
• Any content published by third parties that is linked to or referenced in our newsletter.

In any event, our total aggregate liability to you shall not exceed the amount (if any) paid by you to Serina Systems in the twelve (12) months preceding the claim — which, for a free newsletter subscription, is zero.

10 Unsubscribing & Data Removal

You have the right to withdraw your consent and unsubscribe at any time. Here is how:

• Via email link: Every newsletter email contains a clearly visible "Unsubscribe" link at the bottom. Clicking this link will remove you from our mailing list immediately.
• Via direct request: You may request removal by emailing us at info@serinasystems.com with the subject line "Unsubscribe." We will process your request within 5 business days.
• Data deletion: Upon unsubscription, your email address will be removed from our active mailing list within 30 days. You may separately request full deletion of your personal data by writing to us.
• Effect of unsubscription: Unsubscribing only removes you from marketing communications. It does not delete any account or affect any contractual relationship you may have with us through our other services.

11 Changes to These Terms

Serina Systems reserves the right to update or modify these Terms and Conditions at any time. When we make material changes, we will:

• Notify subscribers via a dedicated email at least 14 days before the changes take effect.
• Post the updated Terms on our website and within the newsletter subscription page, with a clearly displayed new "Last Updated" date.
• Increment the version number of the document.

Your continued subscription after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must unsubscribe before the effective date.

12 Governing Law & Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute, controversy, or claim arising out of or relating to these Terms — including their validity, breach, or termination — shall be resolved as follows:

• Negotiation first: Both parties agree to attempt to resolve any dispute through good-faith negotiation within 30 days of one party notifying the other of the dispute.
• Mediation: If negotiation fails, the parties agree to attempt resolution through mediation administered by an agreed-upon mediator in Nakuru or Nairobi, Kenya.
• Jurisdiction: If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of Kenya, and both parties submit to that jurisdiction.
